Welcome to PetalRank (“PetalRank”, “we”, “our”, or “us”), a software product developed and owned by Espial Solutions. These Terms of Use (“Terms”) govern your access to and use of the PetalRank website, platform, and services (collectively, the “Software” or “Services”). By accessing or using PetalRank, you agree to be bound by these Terms. If you do not agree, please do not use the Software.

1. Eligibility & Account Access

You must be at least 18 years old (or the age of majority in your jurisdiction) to use PetalRank. If you create an account, you agree to provide accurate information and keep your login credentials secure. You are responsible for all activities under your account.

2. Purpose of the Software

PetalRank is an AI-powered SEO and optimization software designed to support users with:

On-Page SEO automation
Off-Page SEO planning and recommendations
Content creation and optimization
Backlink planning and creation support
Technical SEO recommendations
AI Search optimization support for platforms like Google and AI-powered assistants (such as ChatGPT, Perplexity, Gemini), and other platforms added in the future
PetalRank provides recommendations, automation, and insights based on inputs, data, and available signals. PetalRank does not act as a search engine and does not control third-party platforms.

3. No Guarantee of Results

You acknowledge and agree that:

PetalRank does not guarantee any improvement in rankings, traffic, conversions, revenue, or any measurable SEO outcome.
SEO results depend on multiple factors outside our control, including search engine algorithms, website quality, competition, industry, content, technical configuration, and third-party actions.
Even when best practices are followed, rankings may increase, decrease, or remain unchanged.
PetalRank is provided as a tool for assistance, not a promise of results.

4. Search Engine & Platform Penalties (No Liability)

You understand and agree that:

Search engines (including Google and others) and AI discovery platforms may update policies, algorithms, or ranking systems at any time.
Implementing recommendations generated by PetalRank may result in unintended outcomes, including ranking drops, de-indexing, reduced visibility, manual actions, penalties, or other restrictions imposed by third-party platforms.
Espial Solutions and PetalRank shall not be liable for:

any drop in search rankings, impressions, clicks, or traffic
any penalty, manual action, algorithmic downgrade, de-indexing, or reduced visibility
any loss of revenue, leads, or business opportunities resulting from the use of the Software
Use of PetalRank is at your own risk, and you are solely responsible for what changes you implement on your website and marketing assets.

5. User Responsibilities

You agree that you are responsible for:
Reviewing recommendations before implementing them
Ensuring compliance with search engine guidelines, platform policies, and applicable laws
Verifying any AI-generated content for accuracy, originality, and relevance before publishing
Keeping backups of your website and data prior to making changes

6. Prohibited Use

You agree not to use PetalRank to:

engage in spam, malicious SEO, black-hat techniques, or unethical practices
violate search engine guidelines intentionally
upload viruses, malware, or attempt to compromise the platform
reverse engineer, copy, duplicate, resell, distribute, or misuse the Software
infringe the intellectual property rights of any third party
generate unlawful, harmful, deceptive, or misleading content
We reserve the right to suspend or terminate access if prohibited use is detected.

7. AI-Generated Content Disclaimer

PetalRank may generate content, suggestions, or optimization recommendations using AI. You acknowledge that:
AI output may contain errors, omissions, or incomplete guidance
AI-generated content may not always be unique
You are responsible for plagiarism checks, copyright compliance, and editorial review before publishing
PetalRank is not responsible for any legal or SEO consequences from publishing AI-generated outputs.

8. Data & Integrations

You may connect third-party tools or provide access to your website and data. You confirm that you have the legal authority to share such data and authorize PetalRank to process it for delivering the Services. We are not responsible for third-party service availability, changes, outages, or limitations.

9. Intellectual Property

All rights, title, and interest in PetalRank, including its software, UI, branding, trademarks, workflows, features, and underlying technology, belong to Espial Solutions or its licensors. You receive a limited, non-exclusive, non-transferable right to use PetalRank during your active subscription or permitted use period.

10. Payments & Subscriptions (If Applicable)

If PetalRank is offered as a paid service:

fees are billed as per the plan selected
non-payment may lead to suspension or termination
refunds are provided only if stated in our Refund Policy
We reserve the right to revise pricing with notice as permitted by applicable laws.

11. Service Availability & Updates

We aim to maintain a reliable platform but do not guarantee uninterrupted access. PetalRank may:

update features
change functionality
temporarily suspend service for maintenance
add or remove integrations or supported platforms
These changes may occur without notice.

12. Limitation of Liability

To the maximum extent permitted by law, PetalRank and Espial Solutions shall not be liable for:

indirect, incidental, special, consequential, or punitive damages
loss of rankings, traffic, revenue, business, goodwill, or data
penalties or actions taken by search engines or third-party platforms
any losses resulting from reliance on AI recommendations or automation
If liability cannot be excluded under applicable law, our maximum total liability shall be limited to the amount paid by you to PetalRank in the last 30 days (or the minimum allowed by law, whichever is lower).

13. No Warranties

PetalRank is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including:

fitness for a particular purpose
merchantability
accuracy of recommendations
non-infringement
uninterrupted or error-free operation

14. Termination

We may suspend or terminate your access immediately if:

you breach these Terms
you misuse the Software
your activities create legal or security risks
You may stop using PetalRank at any time. Upon termination, your right to use the Software ends immediately.

15. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on our website. Your continued use of PetalRank means you accept the revised Terms.

16. Governing Law

These Terms shall be governed by the laws of Pune, India, without regard to conflict of law principles.
